1. Agreement to Terms

The specific scope, deliverables, timelines, and fees for any engagement will be set out in a separate proposal, statement of work, or order form (“Order”).

3. Quotes, Fees & Payment

• Fees are as stated in the applicable Order and are exclusive of taxes unless stated otherwise.
• Recurring engagements are billed monthly in advance unless agreed otherwise.
• Invoices are due on the terms stated in the Order. Late payments may result in suspension of services.

4. Client Responsibilities

You agree to provide timely access to information, accounts, and approvals reasonably required for us to perform the services, and to ensure that materials you provide do not infringe any third-party rights.

5. Intellectual Property

Unless otherwise agreed in an Order, upon full payment you receive ownership of the final deliverables created specifically for you. We retain ownership of our pre-existing materials, tools, frameworks, and know-how, and may use general skills and experience gained.

6. Third-Party Services

Our services may involve third-party platforms and APIs. Your use of those services is subject to their terms, and we are not responsible for their availability, performance, or policies.

7. Confidentiality

Each party agrees to keep the other party's confidential information secure and to use it only for the purposes of the engagement.

8. Warranties & Disclaimers

We perform our services with reasonable skill and care. Except as expressly stated, our services and website are provided “as is” without warranties of any kind. See our Disclaimer for more information.

9. Limitation of Liability

To the maximum extent permitted by law, Rodriquez Shop shall not be liable for any indirect, incidental, special, or consequential damages, and our total liability arising out of an engagement shall not exceed the fees paid by you for the services giving rise to the claim in the three months preceding the event.

10. Termination

Either party may terminate an engagement as set out in the applicable Order. Fees for services performed up to the date of termination remain payable. Please also see our Refund Policy.

11. Acceptable Use

Your use of our website and services is subject to our Acceptable Use Policy.

12. Governing Law

These Terms are governed by the laws of the State of Colorado, United States, without regard to its conflict-of-laws principles.
